When you register your FHR Exchange account as a supplier, you accept RapidRatings' Discloser Terms. Those terms are the content of our Non-Disclosure Agreement: accepting them during registration is how you sign an NDA with us. The NDA document itself is a signed cover letter version of the Discloser Terms, available in your account for your records and able to be formally countersigned by RapidRatings on request. Alongside the NDA, our Privacy Policy governs how RapidRatings handles your information more generally.
What the NDA covers
A typical NDA governs how two parties will keep each other's information confidential. Our agreement is a little different: it is a one-way commitment from RapidRatings to you about how we will use and protect the financial data you submit.
The two core commitments are:
We use your identifiable data only to generate your Financial Health Rating. Your financial statements are the inputs to the FHR calculation. Aggregated, anonymized data from across the network may inform our model development and industry-level insights; see our Information Security Overview for how that works.
We never share your data without your authorization. You decide who sees your rating and reports through the FHR Exchange's disclosure settings, and you can change those settings at any time. The default position is zero sharing.
The signed cover letter version of the agreement lives in the Documents section of your FHR Exchange account and can be downloaded by any account holder at any time. If you need it formally countersigned by RapidRatings, we can produce a countersigned copy on request.
Why we don't negotiate the NDA case-by-case
RapidRatings treats every FHR Exchange member with the same level of care, so the NDA is a standard agreement for the thousands of suppliers disclosing financial information across the network. Negotiating individually would create inconsistent protections across the network and slow down the process for everyone. The standard terms have been drafted to cover the full range of what members and their clients typically require.
For the same reasons, RapidRatings does not review or sign third-party NDAs supplied by members and does not accept modifications to the standard terms. If your client has asked you to produce a separately signed NDA, see Can you sign our NDA? for how the standard NDA and your chosen disclosure level together cover what a bespoke NDA would.
You control what gets shared
The NDA is the legal foundation. The practical control is in your hands through disclosure levels. You can choose to share a full FHR Report, which includes financial statement data, or a Summary Disclosure Report, which excludes all financial data. See FHR Report Disclosure Levels for how each level works and how to change your setting at any time.
